Rethinking Valuations in Dynamic Business Cycles

Discount Rates, IRRs and Hurdle Rates: Are They Useful in Transactions?

Terms such as "discount rate”, “internal rate of return” and “hurdle rate” are jargons that are often used when analysing transactions. However, this can sometimes result in more confusion rather than clarity. It should be noted that a high discount rate/ internal rate of return/ hurdle rate might not necessarily be good for a transaction. Growing Inorganically – What Companies Need to be Mindful of in Cross-Border M&As

Cross-border transactions are often structured differently to domestic transactions. Very often, instead of acquiring a company on its merits, the buyer is buying access to a new market and the growth that market promises. In many cases, accurate data on the target company may not be readily available. The level of due diligence possible could differ from market to market and so could be the industry dynamics, accounting standards and local regulations. Role of Independent Directors in Transactions & Financial Reporting

The Code of Corporate Governance (“Code”) recommends that there should be a strong and independent element on the Board, which is able to exercise objective judgement on corporate affairs independently, in particular, from Management. Indeed, Independent Directors have an increasingly important role to play in ensuring that the assumptions and calculations used in valuations by management and experts during transactions and financial reporting are appropriate and reasonable. Investing in Intellectual Property

Intellectual property (IP) represents an important financial and legal asset for companies. It is often estimated that intangible assets (which includes intellectual property) accounts for more than 80% of company’s value. Should Initial Coin Offerings Be Valued?

Initial Coin Offerings (ICOs) have become an increasingly common fund raising tool where entrepreneurs issue crypto tokens and commit to accept only those tokens as payment for future use of a digital platform to fund venture start-up costs. The ICO mechanism allows entrepreneurs to generate buyer competition for the token, which, by revealing key aspects of consumer demand, may increase entrepreneurial returns beyond what can be achieved through traditional equity financing. A lack of transparency in how ICOs are valued, however, can undermine the trust in the use of tokens and increase inflexibility in future capital raising. This segment will look at how ICOs are valued and the potential pitfalls that can undermine the use of ICOs as fund raising tools.

Harsha is a transaction advisory specialist and has more than 20 years of experience with EY in our Southeast Asian offices working in Transaction Advisory Services (TAS) as well as in the Assurance business.

Harsha specializes in valuations, financial modelling, mergers and acquisitions and restructuring.  He has led numerous engagements relating to a wide range of clients including private businesses, investment banks, private equity funds, sovereign wealth funds, public listed companies and statutory boards. The nature of these engagements he has led includes provision of advice relating to mergers and acquisitions, due diligence reviews, valuations, financial modelling, debt restructuring and litigation support.  He has significant experience across Asia having advised on numerous, complex, cross border transactions and investments.

Harsha also plays an active role within EY and has several core responsibilities. He is the Asia-Pacific Transaction Advisory Services Leader. He pioneered and led the Valuation & Business Modelling practice in the Far East and has been a member of EY’s Global Valuation and Business Modelling Steering Committee. He is regularly consulted on various valuation related issues.

Harsha also worked with a number of family owned businesses advising them on corporate restructuring, unlocking values as well as optimum strategies for carving out businesses as part of succession planning.

Sir David Tweedie
 

Sir David was educated at Edinburgh University (BCom 1966, PhD 1969) and qualified as a Scottish Chartered Accountant in 1972. In 1990 he moved from a role as national technical partner at KPMG to be the first full time chairman of the UK Accounting Standards Board.

In January 2001 he was selected by the trustees of the IASC Foundation to be the first Chairman of the International Accounting Standards Board (IASB) and CEO of the Foundation. He led the Board for ten years until his term ended in June 2011.

In 2001, only a handful of countries used international standards (IFRS) but by 2011 over 120 countries required or permitted their use. During his tenure at the IASB he met on a regular basis with government ministers and senior officials in many of the world’s major economies. He was a member of the Financial Stability Board and came into regular contact with national and international financial regulators.

He is a visiting Professor of Accounting in the Management School at Edinburgh University, having previously held visiting professorships at the Universities of Lancaster and Bristol and a Fellowship at the Judge Business School at the University of Cambridge. He has received honorary degrees from nine British universities.

He was knighted in 1994 and has received many other honours and awards in recognition of his for service to the accounting profession. Sir David was elected President of The Institute of Chartered Accountants of Scotland, the world's oldest professional accountancy body, in April 2012. He chairs the Royal Household Audit Committee for the Sovereign Grant. He is a member of the Accounting Hall of Fame.

Mr Chaly Mah
 

As Chairman of the Singapore Accountancy Commission (SAC), Mr Chaly Mah leads the Board and team in transforming Singapore into a leading global accountancy hub.

He was formerly the CEO of Deloitte Southeast Asia and Chairman of Deloitte Singapore. During his 38 years with the firm, he was also the CEO of Deloitte Asia Pacific and member of Deloitte Global Executive (2007-2015); Vice Chairman of Deloitte Touche Tohmatsu Limited’s Global Board of Directors (2015-2016); and a member of the Global Board (2002-2009) and (2011-2016).
Mr Mah is currently Chairman of NetLink NBN Management Pte Ltd, Singapore Tourism Board, and NUS Business School Accounting Advisory Board. He also serves on the Boards of Capitaland Limited, the Singapore Economic Development Board,  the National University of Singapore Board of Trustees, and the Monetary Authority of Singapore. He is also an External Member of the Audit Committee of the Asian Infrastructure Investment Bank.

Mr Mah graduated with a Bachelor of Commerce from the University of Melbourne. He is an associate member of the Institute of Chartered Accountants in Australia and New Zealand, a fellow member of CPA Australia, Association of Chartered Certified Accountants as well as the Institute of Singapore Chartered Accountants.

 


 

Amitava is the EY Asia Pacific Markets Leader for Transaction Advisory Services. His previous roles include Head of Advisory Services and Member of Leadership Team at PwC Singapore, CEO of Investment Banking Asia Pacific (ex India) for a leading Indian Investment Bank and Board Director and CEO International for an US$ 1 billion global services group.

Amitava specializes in strategy, M&A, fund raising, restructuring, buyout, and private equity related activities and has successfully completed transactions valued in excess of USbn. These transactions have involved leading private equity firms, multinationals from various countries, large local corporates and a number of entrepreneurial and family run organizations.

Amitava is a gold medalist of the Institute of Chartered Accountants of India and a passed finalist of the Chartered Institute of Management Accountants in the United Kingdom. He has worked in India, the UK and Singapore. He is also a past member of the executive committee of the Singapore Private Equity and Venture Capital Association.


 

Chris de Lavigne is a Partner in Deloitte’s Financial Advisory Practice, based in Singapore, covering M&A Strategy and Value Creation Services.

Chris has over 20 years experience in transformational growth strategies, the last 16 having been in Asia.

He has a particular interest in Technology at large and how this is changing the nature of industry and disrupting business and operational models.

 

 

 

 


 

Chris is the Head of Valuation in the Merger & Acquisition and Portfolio Management, Finance Division at Tencent. He serves as an in-house expert on valuation of investee companies for accounting, tax and transaction purposes. Prior to joining Tencent, he worked in the financial advisory arms of Ernst & Young and Deloitte.

 

Chris has over 10 years of experience in valuation of equities, debt, intellectual properties and financial derivatives in Asia Pacific region. He has been particularly active in the internet and e-commence sectors and has supported a number of his clients through their M&A and corporate restructuring transactions as well as performing accounting reviews.

 

Chris is a charter holder of CFA and CPA Australia. He earned a master's degree from the London School of Economics and Political Science.


 

Daniel is a Co-Founder and Executive Director of FundedHere Pte Ltd. He aims to build a robust crowd-funding ecosystem consisting of good promising start-ups, professional investors and mentors through a MAS-regulated debt and equity crowd-funding platform.

Prior to FundedHere, Daniel was an Executive Director of Singapore-listed company Viking Offshore & Marine Ltd, building the chartering division and managing the winches and power packs division. Before his stint at Viking, Daniel spent several years at Blue Ocean Capital Partners, a bespoke M&A consultancy firm. Part of the work involved helping a Singapore private equity fund Tembusu Partners raise money from ultra-high net worth individuals and smaller institutional funds and family offices.

Daniel started his career in Singapore-listed company Advance SCT Limited. His work included institutional fund-raising and helping the Company raise S million in a secondary placement exercise. He also helped the Company start and operate a new joint venture partnership in Monterrey, Mexico.

Daniel has board experience in Singapore, having sat on the boards of three Singapore-listed companies between 2009 and 2018. Daniel was also a member of the Finance Committee with the Singapore Institute of Directors from 2010 to 2012. He graduated with an honours degree in law in 2007 from Bristol University, United Kingdom.


 

Richard has 20 years of international strategy experience, having spent 12 years based in London working across Europe and the US; 2 years developing PwC’s Strategy practice across the Middle East; he has now been based in Asia for 5 years, building teams and leading projects across the region.

Prior to joining PwC Richard worked at IPG, (a spin-off from Booz Allen Hamilton), which was subsequently acquired by Roland Berger Consultants, before joining PwC in 2005 .

Richard has led numerous strategy, value creation and commercial due diligence assignments, working for corporates, governments and financial investors.

Work covers the full deal continuum – whether pre-deal, e.g. helping link a strategy to identifying appropriate targets; during the deal, working sell and buy side, focusing on both identifying value creation opportunities as well as downside risks; and post deal, working with financial investors and mgt teams, helping determine a successful plan and implementation.

Ms Srividya Gopalakrishnan
 

Srividya is the managing director of Duff & Phelps Singapore Pte Ltd. She set up American Appraisal Singapore operations in 2012, which later got acquired by Duff & Phelps, the largest global independent valuation advisory firm.

She has over 21 years of experience in valuations, transactions and management consulting. She has advised numerous companies on valuations for the purposes of financial reporting, transaction, restructuring, taxation, dispute resolution and financing.

She is a member of the Institute of Valuers & Appraisers of Singapore (IVAS) Council as well as the IVAS Professional Development Committee. She chairs their Advocacy & Engagement Committee. She is a member of the global Regulatory Board of the Royal Institution of Chartered Surveyors (RICS). She is also an empaneled valuer with the Intellectual Property Office of Singapore (IPOS) for their IP Financing Scheme.

Earlier in her career, Srividya was the Partner and Practice Leader – Valuations at Grant Thornton India and prior to that, she has also worked with Baring Communications Equity Asia (BCEA), a private equity fund in Singapore, part of the ING-Barings group and with A.F. Ferguson & Co (part of Deloitte).

Srividya has advised several global and Asian clients across a variety of sectors such as technology, life sciences, manufacturing, consumer products, energy & resources etc.

Srividya has published various articles on valuation, PE/VC and M&A, and has been interviewed by several television channels, newspapers and magazines. She is a regular speaker at conferences and seminars.

Srividya is a registered Chartered Valuer & Appraiser (CVA) with IVAS and Member of the RICS (MRICS). She also has a Post Graduate Diploma in Management (equivalent to MBA), is a Graduate of the Institute of Cost & Works Accountants of India and a Bachelor of Commerce.

Mr Cheng Soon Keong

Soon Keong joined BDO in 2015 as a Director in BDO Corporate Advisory Services. He has over 30 years of professional and commercial experience which include operating as the Chief Financial Officer of a regional group listed on SGX Mainboard, the Singapore Managing Director of a NASDAQ listed professional services group and heading up a number of Mergers & Acquisition (M&A), Corporate Finance, Valuation and GRC/SOX practices of mid-tier accounting firms in Singapore. He has also held various supervisory and managerial positions with different multi-national companies and a Big Four firm in his formative work years. His areas of specialisation include but not limited to:  Corporate Finance, Corporate Restructuring, Distressed Asset Management, IPO Advisory, Deals & Transaction Support, Financial Due Diligence, M&A and Valuation Advisory.

Mr Eugene Lai

Eugene Lai is a Managing Director and Co-Managing Partner of Southern Capital Group, a private equity firm that makes mid-market control investments in Southeast Asia. Southern Capital invests in businesses with proven track records, predictable cash flows and strong management teams. 

Eugene has extensive experience in investments, finance, business and law, including having been Managing Director of JPMorgan, Managing Director of The Carlyle Group, Asia, and CEO of The Ascott Group Limited, one of the largest serviced apartment businesses in the world.

Eugene graduated with a bachelor’s degree in law (first class honors, top of his class) from The London School of Economics & Political Science, London University, and a master’s degree in law from Harvard University.

Eugene sits on a number of boards, including the Securities Industry Council, AIMS AMP Capital Industrial REIT Management Limited, Perennial Real Estate Holdings Limited as well as various Southern Capital portfolio companies.

Ms Rachel Lim

Having started her own online fashion business at the tender age of 19 when e-commerce was minimal, Rachel and the brand was immediately propelled to the forefront of the industry, revolutionizing and headlining the spheres of online retail and redefined the fashion scene in Singapore. The style maven continued to garner a strong following among women with her innate ability to engage, relate and connect with them.

In line with Love, Bonito’s mission to empower women’s confidence through style, she is able to further touch and impact the community of women she and the brand have created. With a personal mantra to live life on the edge and in seizing every opportunity, Rachel left school to grow the business. Today, Love, Bonito remains to be the leading fast-fashion label in Asia, designed specifically for Asian women’s fit. The brand has grown beyond Singapore to Malaysia, Indonesia, Cambodia and Australia.

She believes that everyone has a unique purpose and she endeavors to inspire them to discover and live out their true purpose.

Jaelle Ang is the CEO and Co-Founder of The Great Room – a premium, hospitality-centric co-working operator in Asia. Prior to this venture,she was part of the founding team at SET-listed company, Country Group Development Public Company Limited in Thailand, heading the development of one of the largest mixed-use development in Bangkok, including the Four Seasons Hotel, Four Seasons Residences and Capella Hotel. Her role includes master planning, design conceptualization, fundraising and corporate strategy from 2009 – 2016, and she is also currently on the Board of Directors. She read Architecture at the Bartlett School of Architecture in London and then completed her MBA in Imperial College, London. She also spent a few years in Citibank and Credit Suisse doing Strategy and M&A for Asian emerging market.

Mr Andrew Ooi

Andrew brings with him more than 19 years of valuations, capital markets, financial modelling and financial advisory experience in serving local, multinational and listed companies in Singapore and the Southeast Asia region.

Andrew currently leads Deloitte Southeast Asia’s Valuation & Modeling Services practice. Outside of Deloitte, Andrew is also involved in Singapore’s valuation industry, being a member of the IVAS Council, IVAS’ Standards & Technical Committee and IVAS’ Professional Development Committee.

 

 

 

Mr Vivek Chhabra is a Chartered Accountant with over 30 years’ experience that includes a strong growth track record in 3 companies. Before joining Thai Beverages/Fraser & Neave in April 2015 as CEO for Soft Drinks Thailand and as Head of M&A, Vivek spent 20 years with Heineken Asia Pacific arm as Regional Director – South Asia, M&A Director APAC, and CFO APAC. Vivek has lived and worked in 5 countries including Singapore, Thailand, India and Vietnam and he has acquired extensive knowledge of F&B players across ASEAN. Vivek also served as Independent Director of a Danish MNC’s South Asia Supervisory Board (ex China).

Key Highlights
Vivek has completed 20 M&A transactions valued at USD 1.25 billion for Heineken Asia Pacific arm in India, China, Vietnam, Indonesia, Myanmar, Sri Lanka, Mongolia, New Zealand, East Timor and in the Solomon Islands. He has turned around a USD 700 m loss making beverage business in Thailand by increasing market share and reducing losses by 80% in 2016 and 53% in Q1, 2017.

Vishal is a Deal Advisory Partner in KPMG Singapore and focused on providing M&A and Valuation Advice.  Prior to joining KPMG in 1998, Vishal worked in the capital markets division of JM Financial in India, advising major Indian corporations on their fundraising exercises.

Carmen Lee is Managing Director of Research at the Chief Investment Office at Bank of Singapore. 

Carmen started her career in equity research covering multi-industries, consumer and technology stocks listed on the exchanges in Singapore, Malaysia and Indonesia. 

Prior to joining Bank of Singapore, she worked for 17 years at OCBC Investment Research, the research unit of the OCBC Group, where she headed a team of seven award winning analysts. In 2016, the team won a total of eight awards from Thomson Reuters and this included the Overall Top Award-winning Broker. 

Carmen holds a Bachelors of Business Administration from the National University of Singapore and Masters of Business Administration from INSEAD and Tsinghua University. 

Mr Chiam Tao Koon

Tao Koon’s areas of expertise are in mergers and acquisitions, private equity, joint ventures and general corporate and commercial matters. 

He has extensive experience acting for clients on both sell-side and buy-side mandates and joint ventures in high value and complex transactions across industry-sectors. Given his experience as an entrepreneur in South-east Asia, he primarily focuses on cross border transactions across South-east Asia where his business understanding, negotiation and execution abilities make him uniquely effective.   

He is proficient in Mandarin and frequently advises on Chinese transactions. Tao Koon joined the Firm in 2008 and has been a partner since 2010.

  • Acted as transaction counsel in the acquisition by KV Asia Capital of nursing home provider Orange Valley and subsequent sale of Orange Valley to Singapore Press Holdings.  
  • Acted for Singapore Life, the first local insurer to be licensed as a direct life insurer by the Monetary Authority of Singapore since 1970, in its Series A funding round.
  • Acted as counsel to a GIC affiliate in its investment in a consortium to effect a tender offer for Energy Development Corporation, the largest ever voluntary tender offer in the power sector in Asia.

 

Mr Ding Hock Chai

 

Mr Ding Hock Chai is currently the Senior Director and Head of Corporate Finance in UOB Kay Hian Private Limited and has more than 20 years of experience in the financial services industry, principally in the areas of investment banking, and business advisory services. Prior to joining the investment banking industry, he was with PricewaterhouseCoopers specialising in the business assurance services of financial institutions, property, manufacturing, marine and technology companies.   

He received a Bachelor of Accountancy (Honours) from Nanyang Technological University under a scholarship from the Kuok Foundation (Malaysia). He is a Chartered Accountant (Singapore) of the Institute of Singapore Chartered Accountants as well as a Fellow of The Association of Chartered Certified Accountants (UK). He is also a Chartered Valuer and Appraiser and a Chartered Financial Analyst (US) and is a member of the Singapore Society of Financial Analysts. He sits on the ACRA Practice Monitoring Sub-Committee (a subcommittee of the Public Accountants Oversight Committee) from 2009 – 2010 to assist the Singapore Accounting and Corporate Regulatory Authority (ACRA)  as well as a Inquiry Panel Committee member of the Law Society of Singapore since 2014.

 

 

Mr Sajjad Akhtar
 

Sajjad Akhtar is the Managing Partner of PKF-CAP LLP Singapore, a member firm of PKF International. He qualified as a chartered accountant from the Institute of Chartered Accountants in England and Wales and is a fellow member of the Institute of Singapore Chartered Accountants. He holds an MBA from the University of Chicago, Booth School of Business. Sajjad is also a fellow member of the Singapore Institute of Arbitrators and a member of the Principal Panel of Mediators of the Singapore Mediation Centre.

Sajjad was formerly a Senior Partner of Arthur Andersen Singapore and worked with the firm for 27 years. He has extensive business advisory experience with clients ranging from listed companies and large multinationals to small and medium growing enterprises operating in a diverse range of industries includes electronics manufacturing, software development, oil and petrochemicals, banking and financial services, shipping, construction, advertising and hospitality.

Sajjad has led numerous assignments relating to business valuation for purposes ranging from price negotiations in acquisitions, joint venture formation and divestment, purchase price allocation on fair value basis for group financial reporting, fair valuation of intangibles for tax filing, and business valuation issues in dispute situations. He has extensive experience in claims and disputes consulting involving business valuation issues including testifying in court as expert witness. He has advised in various type of disputes, including construction claims, minority rights issues, commodity futures trade disputes, lender liability claims and loss of use claims.

Ms June Sim

Ms June Sim is the Senior Vice President and Head of Listing Compliance in SGX, who oversees the compliance of all SGX-listed companies with the Listing Manual.

The Listing Compliance function monitors listed issuers’ compliance with the continuous listing obligations under the Listing Rules. This includes direct supervision over the entire spectrum of continuing listing activities comprising corporate actions, continuing disclosure obligations, and investigation and enforcement of listing rule breaches. The function further provides regulatory oversight over the Catalist sponsors and monitors sponsors’ performance through inspections to assure that market intermediaries maintain high standards on the Catalist platform.

Ms Sim has extensive experience in the regulation of companies on both the Main Board and Catalist Board, including review of initial public offerings and monitoring compliance with the listing rules. Her span of experience also includes regulatory actions against listed companies for breaches of listing rules.

She has also participated as a panel member on various Corporate Governance seminars as well as seminars organised for listed companies in relation to compliance with SGX’s continuing listing rules.

Ms Sim graduated from the University of Windsor, Ontario, Canada with Honours in Business Administration.

Mr Ramlee Buang

Ramlee is a Life & Executive Coach, a Financial Consultant and an Independent Director.

Ramlee has more than 35 years of experience in international business and finance having worked in audit and leading multinational corporations from various industries.

Ramlee is a member of the Chartered Association of Certified Accountants (United Kingdom), CPA (Australia) and a non-practicing member of the Institute of Singapore Chartered Accountants. He also holds a Graduate Diploma in Marketing and attended the Harvard Business School Advanced Management Program in 2011. He is a Certified Professional Co-Active Coach (The Coaches Training Institute) and an Associated Certified Coach with International Coaching Federation.

Mr Steve Melhuish

Steve is an award-winning entrepreneur who has built high-growth companies in Asia and Europe over the last 25 years.

Steve co-founded PropertyGuru in 2007 in answer to his personal frustrations in finding a new home. Until 2016, he led and grew the business, with co-founder Jani, into Southeast Asia’s leading online property group.

Prior to PropertyGuru, Steve was the CEO of an Asian social network firm. Previously, he served as an advisor to digital media, venture capital and start-up companies in Asia and Europe including Skype, AOL, Virgin Media, Vodafone, Extreme Media, iPass and Ariadne Capital. Steve also led global teams and a US0 million turnover business unit for Cable & Wireless.

Mr Tan Shau En

 

Tan Shau En is a commercialisation expert and finance veteran with over 20 years of experience in driving innovative business growth. He spearheads IP commercialisation at the Intellectual Property Office of Singapore (IPOS), serving as Assistant Chief Executive (Commercialisation) and Chief Financial Officer. He is concurrently Executive Director of IP ValueLab, an IPOS subsidiary empowering enterprises to grow exponential value through their intangible assets. Shau En plays a critical leadership role in developing an ecosystem that promotes innovation and drives future growth. Prior to IPOS, Shau En was with Royal Dutch Shell for 16 years in senior positions. He had led diverse global teams to implement strategic reviews, benchmarking and data analytics capabilities for various business units. Notable deliverables include identifying opportunities for a profit uplift in the hundreds of millions USD while in Shell’s Global Commercial Division, in addition to cost savings of similar magnitude while in Brunei.  Leveraging on his expertise in strategy development and financial management, he had been tasked by Brunei Shell Petroleum to redefine its strategic and operational options. Mr Henri Arslanian

 

Henri Arslanian is the PwC FinTech & Crypto Leader for Asia, the Chairman of the FinTech Association of Hong Kong and an Adjunct Associate Professor at the University of Hong Kong where he teaches the first FinTech university course in Asia.

With over 400,000 LinkedIn followers, Henri has been awarded many industry and academic awards over the years from being regularly named one of the Most Influential Individuals in FinTech in Asia to being awarded the Governor General of Canada Gold Medal for Academic Excellence. 

Henri was also recognized as one of the Global 2017 LinkedIn Top Voices in Economy & Finance and is regularly featured in global media including Bloomberg, CNBC, CNN, The Wall Street Journal and the Financial Times. 

Before joining PwC, Henri was with a FinTech start-up and previously spent many years with UBS Investment Bank in Hong Kong. Henri started his career as a financial markets and funds lawyer in Canada and Hong Kong. 

Henri is also a TEDx speaker, a published author, and currently sits on several finance, academic, government, civil society, and FinTech related boards and advisory boards globally.

Henri speaks five languages including English, French, Armenian, Spanish and Mandarin Chinese.

Mr Terence Ang

 

Terence has over 19 years of experience and is a partner with RSM’s Corporate Advisory division.  He currently heads the firm’s Transaction and Valuation Advisory practice and is also the Private Equity industry group leader at RSM.

Mr Lau Kin Wai

 

Kin Wai is a tech investor and entrepreneur with broad experience across Asia and Europe. Kin Wai founded his first company at the age of 23 and he has since then been building companies across internet media, software and biotechnology. He was named by the media as one of the youngest Managing Directors of a publicly traded firms in Southeast Asia when he took his first company to a successful IPO at the age of 28.   He has to date led half a dozen of technology companies with 6 of them being listed on major stock exchanges in the Asia Pacific region.
